Corporate Formation & Capitalization

Corporate Formation

CloneWorks is currently completing its formal corporate formation, tax identification, banking, and merchant-account setup with legal and corporate counsel.

The underlying business, technology, validation work, and commercial development predate the completion of the current corporate structure.

Investment Structure During Formation

During this transition, certain investment transactions are being documented through SAFE agreements and handled through an independent legal/escrow structure pending completion of the corporate entity.

The purpose of this temporary structure is to provide appropriate legal handling of investor funds while the CloneWorks corporate, banking, and merchant infrastructure is being completed.

Ownership, Capitalization & Governance

The formation process includes establishing the company's ownership, capitalization, governance, and founder voting structure.

Founder governance and voting protections are being established as part of the corporate formation process.

The final structure will be documented through the company's formal corporate and legal documents.

Intellectual Property

CloneWorks has developed proprietary technology, processes, data structures, and related intellectual property that form the foundation of the platform.

The company is working with legal counsel to formalize ownership and establish appropriate protection across applicable intellectual-property categories, including patents, copyrights, trademarks, trade secrets, and contractual assignments where appropriate.

Detailed technical and IP information may be made available to qualified investors as part of the due-diligence process.

Banking & Merchant Processing

CloneWorks is currently completing its corporate banking and merchant-account setup.

Until those systems are operational, certain customer payments are temporarily being processed through Platinum Tech Marketing, an existing Costa Rica-based marketing company in which the founder is a partner.

This arrangement is temporary and will transition to CloneWorks once the company's corporate banking and merchant-processing infrastructure is operational.
